PART B — PURCHASING FROM US
9. About this part
9.1 This Part B applies whenever you purchase a product or service from OGN, whether through our website, a payment link, or another sales channel we operate.
9.2 A product or service may be purchased by an individual for personal purposes, or by an individual, business, company, charity, organisation or other entity for business, professional or organisational purposes. If you purchase on behalf of an organisation, you confirm that you have authority to enter into these terms on its behalf.
9.3 By placing an order or completing a purchase, you agree to these terms.
9.4 Some products and services have their own additional terms specific to them, which will be made clear to you at the point of purchase. Those additional terms apply alongside this Part B.
10. Your order
10.1 The description, price and any relevant details of a product or service will be shown to you at the point of purchase.
10.2 You are responsible for supplying accurate and complete information, and for any materials you provide. You confirm that you own, or have the necessary rights and permissions to use and provide to us, any photographs, logos, text, branding or other materials you supply.
10.3 We are not responsible for delays caused by your failure to provide information, materials, approvals or responses reasonably required from you.
11. Price and payment
11.1 The price payable is the price shown and agreed at the time of purchase.
11.2 Unless expressly stated otherwise, the standard purchase is a one-time payment for the product or service described at the point of sale.
11.3 Prices are subject to VAT or other applicable taxes where required by law.
11.4 Any additional work or services requested after purchase, beyond what was originally agreed, may be separately chargeable. Where this applies, we will tell you the price or charging basis before undertaking that work, and you will not incur an additional charge without agreeing to it.
12. Consumer cancellation rights
12.1 If you purchase as a consumer, you may have a statutory right to cancel the contract within 14 days of entering into it.
12.2 We normally begin work promptly after purchase. Where required by law, you will be asked to request or acknowledge that we may begin providing the product or service during the 14-day cancellation period.
12.3 If you validly cancel after asking us to begin providing the product or service during the cancellation period, you may be required to pay an amount reflecting what has been supplied up to cancellation, where permitted by law.
12.4 Where the product or service has been fully performed during the cancellation period following the request and acknowledgement required by law, your statutory cancellation right may end once it has been fully performed.
12.5 Nothing in these terms affects statutory consumer rights that cannot lawfully be excluded or restricted.
Cancellation requests should be sent to enquiries@onegoldennugget.com.
13. If we cannot provide what you ordered
13.1 If we accept your order but subsequently cannot provide the product or service purchased, we may cancel the order and will refund amounts paid for that product or service, subject to applicable law.
13.2 This does not apply where a delay or failure results from your failure to provide required information, materials, approvals or cooperation.
PART C — GENERAL TERMS
14. Intellectual property
14.1 You retain ownership of the materials you supply to us. You give us a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, format and display materials you supply, as reasonably necessary to provide our website, products and services.
14.2 We own or control the intellectual property rights in our platforms, products, content, systems, processes, methods, branding, and the One Golden Nugget name, logo and associated brand assets. Nothing in these terms transfers ownership of any such intellectual property to you.
14.3 You must not apply to register a name, trademark, domain name, social-media identifier or other right that is identical or confusingly similar to our protected brands.
15. Data protection
Details of how we collect and use personal information are set out in our Privacy Policy, available on our website. Where you access, export or otherwise use personal information made available to you through a product or service, you are responsible for complying with the legal requirements applicable to your own subsequent processing of that information.
16. Service availability and changes
We will provide our website, products and services with reasonable care and skill, but we do not guarantee they will always be available or completely free from errors. We may carry out maintenance, updates and security work, and may change or improve our technology and systems, while acting reasonably in relation to what you have purchased.
17. No guarantee of results
Unless expressly agreed in writing, we do not guarantee any particular level of engagement, reach, leads, sales, commercial opportunity or other business result from any product or service. Outcomes may depend on factors outside our control, including how you use and promote what you have purchased.
18. Confidentiality
Each party will take reasonable care to protect genuinely confidential information received from the other and will not disclose it unnecessarily, except where reasonably necessary to provide a product or service, to employees, contractors or professional advisers who reasonably require access, with the other party’s permission, or where required by law.
19. Events outside our reasonable control
We will not be responsible for delay or failure to perform an obligation caused by circumstances outside our reasonable control. We will take reasonable steps to minimise disruption and restore affected products or services where practicable.
20. Ending your access or a purchase
20.1 You may ask us to close an account, or to cancel an ongoing product or service, by contacting enquiries@onegoldennugget.com.
20.2 We may suspend or terminate your access where: you materially breach these terms; a remediable breach is not corrected within a reasonable period after notice; immediate action is reasonably required for legal, security, safety, data-protection or reputational reasons; continuing to provide access would expose us to material legal or regulatory risk; we are required to act by law; or we discontinue the relevant product or service.
20.3 Where we propose to discontinue a product or service for reasons unrelated to your breach, we will provide reasonable notice where practicable. Any applicable refund or other rights will be determined in accordance with these terms and applicable law.
21. Your responsibilities
You are responsible for the accuracy of information you provide, obtaining appropriate rights and permissions for materials you supply, your use of any information or content made available to you, maintaining appropriate account or access security, complying with laws applicable to your own activities, and ensuring people acting on your behalf comply with these terms.
22. Liability
22.1 Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
22.2 Nothing in these terms affects statutory rights available to consumers that cannot lawfully be excluded or limited.
22.3 Where you are a business customer, we will not, to the extent permitted by law, be liable for indirect or consequential loss, loss of profits, revenue, business or opportunity.
22.4 Subject to clauses 22.1 and 22.2, and to the fullest extent permitted by law, where you are a business customer, our total aggregate liability arising out of or in connection with your use of our website or your purchase of a product or service shall not exceed the total amount paid by you to us for the product or service giving rise to the claim (or, where no purchase is involved, shall not apply to loss or damage arising from free use of our website).
23. Changes to these terms
We may revise these terms from time to time to reflect changes in law, regulation, security, technology, or the operation of our website, products and services. The revised terms will apply from the date of publication on our website. Where a change materially affects an existing customer’s rights, we will provide appropriate notice and obtain fresh agreement where required by applicable law.
24. Notices, contact and complaints
Questions, complaints and cancellation requests may be sent to us at enquiries@onegoldennugget.com or to our registered office stated at the beginning of these terms. We may contact you using the email address you provided when purchasing or registering, or subsequently provided to us. You are responsible for keeping your contact information current. We will seek to deal with complaints within a reasonable period having regard to their nature and complexity.
25. Governing law and disputes
25.1 These terms are governed by the laws of England and Wales.
25.2 The parties should first seek to resolve disputes directly and in good faith. Where appropriate, mediation may be considered before court proceedings.
25.3 Where you are a business customer, the courts of England and Wales will have exclusive jurisdiction to settle any dispute arising out of or in connection with these terms.
25.4 If you are a consumer, nothing in these terms removes any mandatory consumer rights or jurisdictional protections available to you under applicable law.
